The Contract and Compliance Specialist will perform a range of duties including coordinating the development/negotiation of contract terms, evaluating bids, preparing grant and subgrant agreements and memorandums of understanding, and researching current regulations as well as documenting and ensuring required compliance with the terms of these documents.



  • Work with Grants and Executive Office/Administration staff and United Way legal counsel to define and negotiate contract agreements for grants being received 
  • Assess and identify the need for amendments prior to execution of agreements 
  • Prepare and edit subgrant agreements, as needed 
  • Prepare and edit contracts, both incoming and out-going 
  • Confer with United Way's legal counsel to ensure contracts meet legal requirements 
  • Research regulations and confer with United Way's legal counsel to ensure contracts are updated and in compliance with current laws 
  • Research regulations to guarantee contracts are updated and in compliance with laws 
  • Route incoming contracts for signature using DocuSign 
  • Work with the Director of Grantmaking and Director of Grant Development to update and maintain grantee contract templates 
  • Work with SVP and Chief Operating Officer and other Executive Office/Administration staff and Program Officers in preparing and approving contracts and agreements 
  • Work with Finance Team to ensure insurance requirements are met 
  • Work with Marketing Team to ensure branding, marketing, communications/PR, and other requirements are addressed 
  • Develop and implement effective procurement proposals 
  • Coordinate with internal staff to guarantee terms of contracts are fulfilled in compliance with the contract terms and regulations 
  • Support the development of Memoranda of Understanding/Agreement



To demonstrate ongoing success in this position, the Contract and Compliance Specialist will consistently demonstrate competency in: 

  • Reviewing, negotiating, and executing all grant awards according to required parameters
  • Providing a high level of customer service to funders, community partners, and internal staff 
  • Working to ensure compliance with the terms of contracts and agreements



Interface regularly with internal staff across all  divisions and external stakeholders including United Way's legal counsel and representatives from private foundations, corporate foundations, nonprofit organizations, and public agencies.



Bachelor's degree required. Minimum of 3 years experience in contracting required. Experience with state and federal grants preferred. Paralegal experience preferred.

  • Be well-organized and time-sensitive, able to multi-task, manage competing priorities, meet deadlines, and work under pressure

  • Possess perseverance, able to work through challenges to complete goals 
  • Knowledge of regulations, contract documents, procurement regulations, and legal terminology 
  • Knowledge of the contracting process 
  • Outstanding negotiation and interpersonal skills 
  • Possess a comprehensive understanding of foundation, non-profit, and government grants 
  • Demonstrate excellent attention to details and deadlines 
  • Possess demonstrated computer skills (proficiency in Microsoft Office with an emphasis on Word, Excel, Outlook, and Powerpoint)



The employee is primarily seated while performing duties of the position. Walking or standing and interaction with personnel located in other parts of the building are also necessary.
